Important: CFIUSCheck provides factual distance measurements based on official government datasets. It does not provide legal advice. Results do not constitute a legal opinion regarding CFIUS filing obligations. Always consult qualified CFIUS counsel before making filing determinations.

1. Acceptance of Terms

By accessing or using CFIUSCheck (“the Service”), you agree to be bound by these Terms of Use (“Terms”). If you are accessing the Service on behalf of a law firm or other organisation, you represent that you have authority to bind that organisation. If you do not agree to these Terms, do not use the Service.

CFIUSCheck is an automated analysis tool that calculates the distance from a user-supplied parcel centroid to installations listed on the CFIUS Appendix A (31 CFR Part 802) using primary-source government datasets. The Service provides:

THE SERVICE IS AN INFORMATIONAL TOOL ONLY. OUTPUT FROM CFIUSCHECK DOES NOT CONSTITUTE LEGAL ADVICE, A LEGAL OPINION, OR A DETERMINATION OF CFIUS FILING OBLIGATIONS. The Service does not account for all factors relevant to CFIUS jurisdiction, including transaction structure, the identity of the foreign person, applicable exemptions, or regulatory developments subsequent to the dataset dates. Users are solely responsible for obtaining qualified legal advice from licensed CFIUS counsel before making any filing decisions.

4. Data Accuracy and Limitations

The Service uses government datasets that are current as of the dates specified in each report. Specifically:

These datasets may not reflect subsequent regulatory amendments, installation changes, or updated disclosure filings. Distance calculations use the Haversine great-circle formula from query point to installation centroid; results may differ from boundary-to-boundary measurements. The Service makes no warranty that the data is complete, current, or free of error.

5. Pricing and Payment

5.1 One-time reports

Basic reports ($99) and Enhanced reports ($249) are charged per query at the time of analysis. Payment is processed by Stripe, Inc. One-time report access tokens expire 24 hours (Basic) or 48 hours (Enhanced) after purchase.

5.2 Law Firm Subscription

The Law Firm Plan ($1,499/month) provides unlimited analyses for the subscribing organisation. Subscriptions are billed monthly in advance. Subscriptions renew automatically until cancelled. You may cancel at any time; cancellation takes effect at the end of the then-current billing period. No prorated refunds are provided for unused subscription time except as required by applicable law.

5.3 Refunds

One-time report fees are non-refundable once the analysis has been delivered. If a technical failure prevents report delivery, contact contact@cfiuscheck.com for a remedy. Subscription refunds are not provided for partial months except as required by applicable law.

7. Intellectual Property

The analysis methodology, software, and report format are proprietary to CFIUSCheck. The underlying government datasets (CFIUS Appendix A, DoD MIRTA, USDA AFIDA, U.S. Census Gazetteer) are public domain. Reports generated for a subscribing client may be used in client files and regulatory submissions for that client’s matter; they may not be redistributed commercially.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, CFIUSCHECK’S AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL CFIUSCHECK BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10. Indemnification

You agree to indemnify and hold harmless CFIUSCheck and its operator from any claims, losses, damages, and expenses (including reasonable attorneys’ fees) arising from your use of the Service, your violation of these Terms, or your violation of any applicable law.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Florida, USA, without regard to conflict of law principles. Any dispute arising under these Terms shall be resolved by binding arbitration in Brevard County, Florida under the rules of the American Arbitration Association, except that either party may seek injunctive relief in court for intellectual property violations.

12. Modifications

We reserve the right to modify these Terms at any time. We will post the updated Terms on this page with a revised effective date. Continued use of the Service after such changes constitutes acceptance.

13. Termination

We may suspend or terminate your access to the Service for violation of these Terms, fraudulent activity, or non-payment, with or without notice. Upon termination, your right to use the Service ceases immediately.
